Binance buys $100 million in Circle shares, the company behind USDC
Binance, the biggest platform in the world for buying and selling cryptocurrencies, bought shares of Circle for 100 million dollars. Circle issues USDC, the world's second largest stable digital currency.
The news came in a document that Circle filed with the Securities and Exchange Commission of the United States, the agency that watches the stock market. It came out on Tuesday, September 22, 2026.
How many shares it bought
According to that document, Binance received 1,237,011 Class A shares, at $80.84 each.
The sale was a private placement: a share sale agreed directly between the company and the investor, without going through the exchange. The deal closed on September 17, 2026.
The price had a 5% discount against the earlier market value, like paying 95 dollars for something that costs 100.
A partnership for five years
The two companies renewed their business partnership for five years. Circle will pay Binance a fee every month, a percentage of the USDC stored and used in the Binance wallet. A wallet is where digital coins are kept.
Binance promises to promote USDC on its platform, with a focus on emerging markets such as Brazil and Mexico.
The shares stay still
Binance will not be able to sell, transfer or use those shares to protect itself from price changes for up to two years from the closing. The voting rights stay with Binance.
It is the third version of the deal in less than two years. It replaces deals from November 2024 and August 2025.
